This Confidentiality Agreement (“Agreement”) outlines the terms and conditions under which the Company agrees to protect the confidentiality of information related to the Customer’s projects.
The term “Confidential Information” refers to any non-public information, data, designs, specifications, prototypes, or other materials related to the Customer’s projects that the Company may receive or have access to during the course of its business relationship with the Customer.
The obligations under this Agreement shall not apply to Confidential Information that:
Upon the Customer’s request or termination of the business relationship, the Company shall promptly return or securely destroy all files, documents, and materials related to the Customer’s projects.
This Agreement shall remain in effect until the completion of the Customer’s projects or until terminated by either party with written notice.
This Agreement shall be governed by the laws of the state of Arizona, and any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts in Mesa, AZ.
