Confidentiality Agreement

Between Paradigm Fabrications (the “Company”) and [ALL Customers] (the “Customer”)

1. Purpose

This Confidentiality Agreement (“Agreement”) outlines the terms and conditions under which the Company agrees to protect the confidentiality of information related to the Customer’s projects.

2. Confidential Information

The term “Confidential Information” refers to any non-public information, data, designs, specifications, prototypes, or other materials related to the Customer’s projects that the Company may receive or have access to during the course of its business relationship with the Customer.

3. Obligations

Non-Disclosure: The Company agrees not to disclose, directly or indirectly, any Confidential Information to any third party without the prior written consent of the Customer.
Use Limitation: The Company shall use the Confidential Information solely for the purpose of fulfilling its obligations under the Customer’s projects.
Security Measures: The Company shall implement reasonable security measures to protect the Confidential Information from unauthorized access, use, or disclosure.
Employee Obligations: The Company shall ensure that its employees, contractors, and agents who have access to the Confidential Information are bound by similar confidentiality obligations.

4. Exceptions

The obligations under this Agreement shall not apply to Confidential Information that:

Is already in the public domain at the time of disclosure.
Becomes publicly available through no fault of the Company.
Is independently developed by the Company without reference to the Confidential Information.
Is required to be disclosed by law, court order, or government authority.

5. Return or Destruction of Files

Upon the Customer’s request or termination of the business relationship, the Company shall promptly return or securely destroy all files, documents, and materials related to the Customer’s projects.

6. Term and Termination

This Agreement shall remain in effect until the completion of the Customer’s projects or until terminated by either party with written notice.

7. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the state of Arizona, and any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts in Mesa, AZ.
